Founded in 2012, our Firm serves clients in highly complex matters that require the personal attention of experienced and committed lawyers.

Throughout their careers, our partners and associates have participated in several of the most renowned transactions in the country and have actively collaborated in solving disputes that transformed the markets of a number of industries.

Our Firm can offer unique advice and assistance to its clients. Each partner of the Firm engaged in open disputes also has extensive experience in commercial transactions.

  • Juan Pablo Rico

    Juan Pablo Rico has broad litigation experience across the construction, power, financial, health, infrastructure, transportation, oil and gas, steel and telecommunications sectors.  He constantly provides strategic advice to clients in questions involving civil, commercial and administrative litigation before state and federal courts.  Additionally, Mr. Rico has served as counsel in several international and domestic arbitrations, including under the arbitration rules of the International Chamber of Commerce (ICC) and the Chamber of Commerce of Mexico.

    Mr. Rico also has an extensive corporate background, having advised clients in connection with mergers and acquisitions, financings, antitrust and securities-related matters.  His current corporate practice focuses on representing domestic and foreign financial institutions in the structuring and implementation of financing transactions, development of new products and regulatory compliance matters.  He also represents financial institutions and issuers in equity and debt market transactions and structured finance deals.

    Before he founded the Firm, Mr. Rico worked for the Mexican National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores), was an associate with another prestigious Mexican law firm and a foreign associate with Cleary, Gottlieb, Steen & Hamilton in New York, and later on was a partner, and founder and head of area of a preeminent New York law firm in Mexico City.

  • Gustavo Robles

    Gustavo Robles has ample experience in structured finance transactions, both involving public and private companies, and states and municipalities, as well as in mergers, acquisitions and business combinations.  Among other transactions, Mr. Robles has participated in the financing of the country’s first private oil pipeline, the first debt offering of a Mexican municipality backed by federal distributions, the first issuance of a financial guaranty insurance policy in México, the restructuring of the entire public debt of the State of Mexico, the implementation of the first financing to a public financing institute for a state, the acquisition of hotels in colonial locations, the acquisition of industrial plants, and strategic associations involving companies in the infrastructure and insurance sectors.

    In matters related to administrative law, Mr. Robles is an expert in concessions and public-private partnerships. 

    His experience in dispute resolution includes the negotiation and closing of the settlement agreements that resolved the largest moral damage lawsuits to date in Mexico, as well as the landmark trackage rights agreements of the Mexican railroad industry.  He has also successfully represented several companies in arbitration proceedings, as well as in constitutional litigation cases that have been significant for the telecommunications and transportation industries.

    Before he founded the Firm, Gustavo Robles was a partner with the Mexico City office of a preeminent New York law firm.

  • Ivan Libenson

    Ivan Libenson has focused his practice in corporate, securities and financial law, including securities offerings, mergers and acquisitions, project finance transactions and corporate debt restructurings, representing domestic and foreign clients in the private and public sectors in structuring and implementing multiple transactions in each of such areas.  He has participated in offerings of certificados bursátiles, Rule 144A-Regulation S offerings, as well as in initial public offerings and tender offers in the Mexican securities market.  Mr. Libenson has also participated in complex securitization transactions involving a diverse range of underlying assets.

    Mr. Libenson’s corporate and M&A experience includes the merger of public and private companies and the corporate restructuring companies in Mexico.  In addition, he has acted as counsel for governmental and private entities in the drafting process of diverse laws and regulations for the securities and financial sectors.

    Mr. Libenson has participated in complex financing and refinancing transactions of both private and public companies, including the financing of corporate and infrastructure projects.

    Before he founded the Firm, Mr. Libenson was a partner with a preeminent New York law firm in Mexico City.

  • Analy del Rocío Velasco Meléndez

    Analy Velasco has focused her practice on corporate law, labor and employment law and antitrust law.

    Analy’s corporate experience emphasizes in the structuring and development of mergers and acquisitions, corporate restructurings, corporate governance, data protection, foreign investment and corporate, contractual and regulatory advisory on different matters related to industrial, commercial and services activities in Mexico.

    Throughout her career, Analy has participated in antitrust matters, both in respect of mergers as well as in connection with investigation and sanctioning proceedings related to antitrust practices and cartels.

    Before joining the firm, Analy worked as an associate with the Mexico City office of a preeminent Miami law firm, where she participated in deals such as the acquisition of a Mexican cargo airline by Central America’s leading airline group, the sale of one of Mexico’s most important satellite companies for which she received recognition from an international legal publication, as “Winning Team” member in 2014; and the implementation of labor and employment advisory during the spin-off of two key market players of the e-commerce and payment processing worldwide industries.

    Eduardo González Ávila has focused his practice in capital markets, mergers and acquisitions, financing, financial restructures, corporate and real estate matters.

    Flor Rodríguez has focused her practice mainly on corporate law, mergers and acquisitions, foreign investment law, labor and employment law and antitrust law.

    Flor has professional experience advising national and foreign clients. She has participated in several domestic and cross border projects on mergers and acquisitions with clients in the sugar, automotive, sports, manufacturing, gastronomic, hotel and healthcare industries. She has also provided labor and employment advice to companies in the entertainment, textile, alcohol, sugar, radio and television industries.

  • María Eugenia Ortega Jimenez

    Maria Eugenia Ortega has focused her practice on administrative and constitutional law, participating both in advisory and litigation. Her experience includes different cases, varying from the energy sector (especially across the recently Energy Reform) to infrastructure projects and real estate, in which she has assisted several clients of both public and private sector.

    Regarding litigation and proceeding matters, Maria Eugenia has participated on different cases, administrative proceedings and amparo proceedings across several industries such as, highways concessions, railways, telecommunications, other infrastructure projects, financial markets, health, and a variety of cases that involve financial governmental liability.

    Maria Eugenia has also provided consultancy support in connection with the implementation and operation of federal auto-transportation projects (in the highways and railways sectors), and renewable energy projects, including urban solid waste treatment for the generation of electric energy; closure of sanitary landfills and final waste disposal sites (and its remediation) taking part in the negotiation, design, revision and implementation of several actions for the financing and execution of such projects.

    In accordance with her vast experience on regulatory matters, Maria Eugenia frequently participates in most of the transactional cases of the Firm, including due diligence and regulatory matters.

  • Mergers and Acquisitions

    Our team has extensive experience in a wide array of domestic and cross-border M&A transactions. Among other things our partners participated in the largest acquisition ever made in Mexico, and have ever since been involved in a substantial number of M&A transactions.

    Capital Markets

    Our partners and associates have represented issuers and underwriters in a number of debt and equity offerings including Rule 144A-Reg S offerings, as well as complex securitizations of a diverse range of assets. Among other things, our attorneys have a deep understanding of the covered bond market and the issues around covered bond structures under Mexican law.

    Financing

    Our partners and associates have advised lenders, debtors and other market participants in complex corporate financings and award-winning infrastructure projects. Water, highways, power, gaming and telecommunications are some of the industries that have benefited from the financings in which our partners have participated. Likewise, the partners of the Firm successfully pioneered the bond-market financing of States and Municipalities in Mexico and have continued to represent public entities and financial institutions in their most challenging, innovative public financing transactions.

    Financial Institutions

    Our team has provided regulatory and transactional advice to banks, insurance companies, broker-dealers and retirement fund managers. Our involvement with financial institutions includes the design and implementation of mass-marketed financial products, core and alternative business combinations, investments, divestitures and on-line financial services.

    Investment Funds

    Our partners have participated in numerous transactions involving investment funds, including private equity funds. We have assisted our clients in identifying and choosing alternatives to structure investment vehicles and have participated in the design and implementation of such vehicles in seamless coordination with counsel of other jurisdictions. In addition, we have advised funds in complex investment opportunities and have represented clients in transactions facing investment and private equity funds.

    Restructuring

    Our partners and associates have participated in high-profile, in-and out-of-court restructurings and bankruptcies, including the first high-profile, in-court restructuring proceeding under the Mexican Business Reorganization Law (Ley de Concursos Mercantiles), bankruptcy cases involving parallel Mexican bankruptcy and U.S. Chapter 11 proceedings, and recent debt workouts of publicly traded companies involving bank and securities creditors.

    Antitrust

    Our partners have successfully handled many antitrust filings in the context of M&A transactions, divestitures and joint ventures.

    Real Estate

    Our team has substantial experience in real estate acquisitions all over the country. We have acquired and developed assets for developers as well as for clients in the tourism, manufacturing and commercial sectors.

    Project Finance & Infrastructure

    Our lawyers have substantial experience in project finance deals.  Throughout their careers, our partners have advised and continue to advise some of the most representative participants across a number of sectors, both on the side of the creditors (including development banks) and on that of the sponsors, in connection with some of the largest infrastructure projects in Mexico and elsewhere in the Americas.

    In addition, the Firm regularly advises clients on a number of infrastructure matters other than the mere financing aspects of the projects, including in connection with the public bidding processes, their multiple regulatory issues, the contracting phase and the subcontracts, as well as their subsequent sale and acquisition.

    Sectors where we have been significantly active include power plants, toll roads, gas pipelines, railways, satellites and water, among others.

    Energy

    The Firm keeps continuously active in the energy sector, especially in connection with the developments arising out of Mexico’s watershed Reforma Energética of 2013, and we have been significantly involved in high-level discussions with relevant authorities in connection with various aspects of the implementation of the Reform.

    Our experience encompasses a broad spectrum of sectors such as hydroelectric and other renewable energy projects, as well as waste-to-energy and waste-to-biofuels, to name a few.

    Regarding oil & gas, we have provided advice in connection with upstream (including mature well incentivation, farm-outs and ancillary services), midstream (including storage terminals, pipelines, etc.) and downstream projects (including M&A and maquila projects).

    In the power sector we have gained significant experience with several aspects of the newly-created market participants, including qualified electric energy brokers (suministradores calificados).

    Finally, the Firm is involved in a number of aspects regarding not only financing equity vehicles for the sector, but also in the development, structuring and execution of the projects themselves.

  • Administrative Law

    Our Administrative Law practice handles pre-dispute and litigation involving all sorts of regulated industries. This includes, among others, regulatory advice in the context of concessioned assets; securities, banking, insurance and general financial regulation; white-collar administrative defense; government procurement; specialized tax litigation; privatization, and administrative enforcement. The Firm provides active representation before the Executive and Judicial Branches, including the Supreme Court of Justice.

    Antitrust

    Our partners have represented market leaders in the context of antitrust investigations and appeals against merger stop-orders from the Federal Antitrust Authorities. We have successfully represented our clients in each of these affairs. Our services in this area include drafting the core documents, as well as negotiating and reaching settlements with the Federal Government.

    Commercial Disputes

    One of the core assets of the Firm is its ability to design a dispute strategy that leads to a business-efficient settlement within a short time after taking a case. Most of the commercial disputes that our partners have handled are essential for the clients’ business.

    Our clients therefore place a high premium on reaching a sensible result. Our work in this area entails identifying the different offensive and defensive alternatives that our clients can pursue; fitting these alternatives to each client’s ongoing business requirements so as to avoid disruptions to their ordinary activities; drafting the core litigation documents; coordinating the implementation of the alternatives selected by the client (often involving different areas, e.g. a civil strategy combined with criminal procedures); and drafting and negotiating the settlement documents.
    Settlements reached by the Firm’s lawyers are often as complex as full-blown commercial transactions. Because of the group’s knowledge of pure transactional work, we are regularly able to craft settlements that enhance the value of the agreement for our clients. Our work in this area spans across judicial litigation and arbitration.

  • Other Areas

    The Firm does not provide representation or advice in criminal, intellectual property, customs, labor, social security or general tax law. Nevertheless, we continuously act as coordinators with specialized practitioners in such fields. In this respect, when one of the cases or transactions that we participate in requires the knowledge of a specialist in any of these areas, we refer our clients to a set of law firms that we believe can provide an effective representation, and with whom we have worked in the past.
